Supplier Agreement
Last Updated: 15 October 2026
This Supplier Agreement ("Agreement") is entered into between Madeinafrica.io ("Platform") and the business entity registering as a Supplier ("Supplier", "you") upon acceptance during the registration process.
1. Scope
1.1 This Agreement governs your use of the Platform as a Supplier, including product listing, advertising, RFQ responses, Escrow transactions, and all related features.
1.2 This Agreement supplements and is subject to the Terms of Service and all other Platform policies.
2. Membership and Fees
2.1 You may select one of three membership tiers: Free, Growth, or Gold. Each tier has different features, limits, and pricing as displayed on the Membership page.
2.2 Paid memberships are billed monthly or annually in USD. You authorise the Platform to charge your selected payment method on each billing cycle.
2.3 You may upgrade or downgrade your membership at any time. Upgrades take effect immediately; downgrades take effect at the end of the current billing cycle.
2.4 Cancellation of a paid membership must be done through your dashboard at least 7 days before the next billing date. No refunds will be issued for partial billing periods.
3. Product Listings
3.1 You may list Products on the Platform in accordance with your membership tier limits.
3.2 All Product listings must be accurate, truthful, and comply with our Acceptable Use Policy. You must not:
- List counterfeit, pirated, or unauthorised replica goods;
- Misrepresent the origin, quality, certifications, or specifications of your Products;
- Use images or descriptions that belong to another business without permission;
- List Products that are illegal in your country or in major SADC destination markets;
- Engage in bait-and-switch pricing (listing artificially low prices to attract inquiries).
3.3 Product images must meet the Platform's quality standards: minimum 1000x1000 pixels, clear and well-lit, no watermarks from other platforms. The Platform reserves the right to remove listings that do not meet quality standards.
3.4 You are responsible for keeping your Product listings up to date, including pricing, availability, and specifications.
4. Verification
4.1 You agree to submit all required Verification documents as specified by your membership tier. These may include company registration certificates, director identification, proof of address, VAT certificates, tax clearance certificates, bank confirmation letters, export licenses, and industry-specific licenses.
4.2 You represent and warrant that all Verification documents are authentic, current, and accurately reflect your business.
4.3 You acknowledge that the Platform's Verification process involves manual review by our team and may take 24–72 hours. Verification is not guaranteed and may be denied at our sole discretion.
4.4 Verification is valid for 12 months. You agree to renew your Verification before expiry to maintain your Verified status and associated benefits.
4.5 The Platform reserves the right to revoke your Verification at any time if we receive credible information that your documents are fraudulent, expired, or no longer accurate.
5. Advertising and Credits
5.1 You may purchase Credits to access advertising placements, listing boosts, RFQ responses, and other premium features.
5.2 Credits are non-refundable, non-transferable, and expire 12 months after purchase.
5.3 You agree not to engage in click fraud, impression manipulation, or any activity designed to artificially inflate advertising metrics.
5.4 The Platform reserves the right to reject or remove any advertisement that violates our policies or applicable advertising laws.
6. Communication and Response Times
6.1 You agree to respond to Buyer inquiries and chat messages within 24 hours during business days.
6.2 Your average response time will be displayed on your public profile. Consistently poor response times may result in reduced search visibility.
6.3 You agree to communicate professionally and respectfully with all Buyers. Harassment, discrimination, or abusive language will result in immediate account suspension.
7. Trade Orders and Escrow
7.1 When you accept a Trade Order through the Platform, you agree to fulfil the order in accordance with the agreed specifications, quantity, price, delivery timeline, and Incoterms.
7.2 If the Buyer pays through the Platform's Escrow system, you agree not to ship goods until the Escrow status shows "Funded". You agree to ship within the agreed timeline and upload valid shipping documents.
7.3 Live escrow and payment release are not currently available on the Platform. Agree payment, inspection, delivery, and dispute terms directly with the Buyer in a written contract.
7.4 You agree to cooperate fully with any dispute resolution process initiated by a Buyer or the Platform.
8. Reviews and Ratings
8.1 Buyers who complete Trade Orders with you may leave reviews and ratings on your profile.
8.2 You may respond to reviews publicly but may not attempt to manipulate, coerce, or incentivise Buyers to leave positive reviews or remove negative reviews.
8.3 If you believe a review is fraudulent, defamatory, or violates our policies, you may flag it for admin review.
9. Intellectual Property
9.1 You retain ownership of your Content (product images, descriptions, logos, company information).
9.2 You grant the Platform a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute your Content on the Platform, in marketing materials, in AI/MCP data feeds, and in promotional communications for the duration of your account and for 12 months after termination.
9.3 You represent and warrant that your Content does not infringe any third-party intellectual property rights.
10. Indemnification
10.1 You agree to indemnify and hold harmless the Platform from any claims, damages, or losses arising from:
- Your Products (including product liability, safety, or quality claims);
- Your breach of this Agreement or any applicable law;
- Your infringement of third-party intellectual property;
- Any dispute between you and a Buyer.
11. Termination
11.1 Either party may terminate this Agreement with 30 days' written notice.
11.2 The Platform may terminate this Agreement immediately if you violate any material term, engage in fraud, or fail to maintain Verification.
11.3 Upon termination, your Products will be removed from public view, unused Credits will be forfeited, and any pending Escrow transactions will be resolved in accordance with the Escrow Terms.
12. Governing Law
12.1 This Agreement is governed by the laws of the Republic of South Africa. Disputes shall be resolved in accordance with the dispute resolution clause in the Terms of Service.
